This authorization formalizes the transition to a unified SaaS ERP Clean Core, ensuring scalable governance, investor transparency, and institutional-grade compliance.

1. Approval of Financial Commitment

The Board hereby authorizes the Year 1 Project Budget with an upper ceiling of:

$405,000 USD (Maximum Allocation)

This approved allocation includes:

  • SaaS Subscription Fees (OpEx): Core ERP Cloud Infrastructure and Clean Core architecture.
  • Implementation Services: Configuration of Green Retrofit tracking and Syndication modules.
  • Contingency Reserve: 15% ($52,800) allocated for high-priority triage items and User Acceptance Testing defects.

2. Strategic Stipulations

Transparency Requirement

The IT team is mandated to provide a real-time Investor Dashboard link to the Board by Month 6 of implementation.

Human-In-The-Loop Governance

The Project Manager must report all “Red” status items from the BHS Triage Matrix in the monthly Executive Update. This ensures risk visibility and proactive mitigation.

Compliance Requirement

All data migration must meet SAP-standard Clean Core requirements, protecting the Bangs and Hammers brand integrity and investor confidence.
